Terms & Conditions

The agreement that governs your access to and use of the HFT EDGE website, software, data feeds, setup services, and mentorship program. Please read them carefully — especially the Risk Disclosure.

1. Acceptance of These Terms

These Terms & Conditions (these “Terms”) form a legally binding agreement between you (“you” or “User”) and HFT EDGE (“HFT EDGE,” “we,” “us,” or “our”) governing your access to and use of our website at hftsync.com (the “Site”) and the software, data feeds, setup services, and mentorship program we offer (collectively, the “Services”).

By accessing, browsing, or using the Site or Services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Site or Services.

2. Description of the Services

HFT EDGE provides high-frequency trading software, market-data infrastructure, technical setup and onboarding services, and trader education/mentorship. The Services are designed to connect to your chosen broker, exchange, or liquidity provider and to execute strategies according to your configuration on infrastructure that you control or rent.

Unless explicitly stated in a separate written agreement, the Services are provided on an “as available” basis. We may modify, suspend, or discontinue any feature of the Services at any time, and we may impose limits on certain features or restrict access without notice or liability.

3. No Financial Advice & Not a Broker

Nothing on the Site or provided through the Services constitutes financial, investment, legal, tax, or accounting advice, or a recommendation, offer, or solicitation to buy, sell, or hold any instrument or to enter into any transaction. Any charts, statistics, performance figures, testimonials, blog posts, videos, or market commentary are provided for general informational and educational purposes only and may be based on simulated, historical, or hypothetical data.

Past or simulated performance is not indicative of, and is not a guarantee of, future results. You are solely responsible for evaluating the merits and risks of any transaction and for any decision to trade. You should consult an independent, licensed professional before acting on any information obtained through the Services.

HFT EDGE is not a broker, dealer, exchange, liquidity provider, futures commission merchant, introducing broker, investment adviser, money manager, or custodian. We do not hold, transmit, custody, or control your funds or securities, and we are not a party to any transaction you enter into with a broker or other venue. Your trading relationship is solely between you and your chosen broker or provider.

4. Risk Disclosure

Trading foreign exchange, contracts for difference, cryptocurrencies, futures, options, and other leveraged products carries a high level of risk and may not be suitable for all investors. The degree of leverage can work against you as well as for you. You could sustain a loss of some or all of your deposited funds and, in some cases, more.

Before deciding to trade, you should carefully consider your objectives, financial situation, needs, and level of experience, and seek independent advice if necessary. Automated, algorithmic, and high-frequency trading introduces additional risks, including but not limited to:

  • Speed and connectivity risk — execution depends on infrastructure, network conditions, and broker/venue performance that are outside HFT EDGE’s control;
  • Software and configuration risk — incorrect settings, bugs, or third-party changes can cause unintended orders, overtrading, or losses;
  • Liquidity and market risk — gaps, slippage, spreads, outages, and extreme volatility can produce fill prices far from expectations;
  • Counterparty and regulatory risk — the solvency, rules, and conduct of your broker, exchange, and data providers directly affect your outcomes;
  • Strategy-specific risk — arbitrage, latency, and slippage strategies may be adversely affected when market conditions, fees, or counterparty behavior change.

You acknowledge and accept all such risks and agree that you alone bear full responsibility for any losses. HFT EDGE does not guarantee any profit, return, execution speed, uptime, or trading outcome.

5. Eligibility

You represent and warrant that:

  • you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into these Terms;
  • your access to and use of the Services complies with all laws and regulations applicable to you, including any local restrictions on online trading, automated trading, or the use of the Services;
  • you are not located in, or a resident or citizen of, a country or territory subject to comprehensive sanctions or where the Services are prohibited;
  • you are not on any restricted-party or denied-persons list;
  • any trading account you connect to the Services is lawfully held by you and may be used in your jurisdiction.

It is your responsibility to determine whether your use of the Services is legal in your jurisdiction. We may restrict access from certain locations at our discretion.

6. Accounts & Security

If you create an account or receive access credentials, you are responsible for maintaining their confidentiality and for all activity that occurs under them. You agree to notify us immediately of any unauthorized use or security breach. We are not liable for any loss arising from compromised credentials that are within your control.

You must provide accurate and complete information and keep it current. We may suspend or terminate access if information is found to be false, misleading, or outdated.

7. License Grant & Restrictions

Subject to your compliance with these Terms and, where applicable, your payment of all fees, HFT EDGE grants you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the software and Services for your own internal trading and educational purposes, for the term of your subscription or license.

You agree that you will not, and will not permit others to:

  • copy, modify, reverse engineer, decompile, disassemble, or create derivative works of the software or any part of the Services;
  • resell, sublicense, rent, lease, lend, distribute, or otherwise transfer access to the Services to any third party;
  • use the Services to provide a competing product or service, or to develop, train, or benchmark a competing offering;
  • remove, alter, or obscure any copyright, trademark, or other proprietary notice;
  • use the Services in any manner that could damage, disable, overload, or impair them, or interfere with any other party’s use;
  • use the Services for any unlawful, fraudulent, abusive, or market-manipulative purpose, including any activity prohibited by the exchanges, brokers, or venues you connect to.

All right, title, and interest in and to the Services, including all intellectual property, remain the sole and exclusive property of HFT EDGE and its licensors.

8. Fees, Payment & Refunds

Some Services require payment of fees, as described on the Pricing page or in a separate agreement. You agree to pay all applicable fees and any taxes. Unless otherwise stated, fees are quoted in USD and are payable in advance through our designated payment processors.

  • Lifetime licenses grant access for the lifetime of the product, subject to these Terms. “Lifetime” refers to the supported lifetime of the software as we determine it in good faith, not your lifetime, and does not guarantee indefinite updates or support forever.
  • Subscriptions renew automatically for successive periods unless canceled before the renewal date through the method provided.
  • Refunds are governed by the refund policy presented at checkout or in your order confirmation. Because software, configuration files, and mentorship content cannot be “returned,” and because trading results depend on factors outside our control, certain sales may be final or subject to specific conditions. Statutory consumer refund rights in your jurisdiction remain unaffected where they cannot be waived.

We may change our fees upon reasonable notice. Fee changes take effect at the start of the next billing cycle following notice.

9. Acceptable Use

You agree to use the Site and Services lawfully and in good faith. You will not:

  • violate any applicable law, regulation, or third-party agreement (including your broker’s terms);
  • engage in spoofing, layering, wash trading, front-running of other users, or any manipulative or deceptive practice;
  • attempt to gain unauthorized access to any part of the Services, systems, or networks;
  • introduce viruses, malware, or any malicious code;
  • scrape, crawl, or harvest data from the Site except as permitted;
  • misrepresent HFT EDGE or our relationship with you, or make false claims about the Services.

You are solely responsible for the strategies you deploy, the parameters you set, and the orders placed on your behalf by the software.

10. Intellectual Property

The Site, the Services, our name and logo, our strategies, code, documentation, course and mentorship materials, blog posts, videos, and all related content are owned by or licensed to HFT EDGE and are protected by copyright, trademark, and other intellectual-property laws. You may not use our trademarks or brand assets without our prior written consent.

Configuration files, presets, or materials we provide to you remain our property or that of our licensors and are licensed to you under these Terms; they may not be redistributed or disclosed to third parties.

11. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HFT EDGE AND ITS AFFILIATES, LICENSORS, OFFICERS, EMPLOYEES, AND PARTNERS DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that defects will be corrected, or that the software will be compatible with any particular broker, platform, data feed, or future environment. You use the Services entirely at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HFT EDGE OR ITS AFFILIATES, LICENSORS, OFFICERS, EMPLOYEES, AGENTS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SITE OR SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BECAUSE TRADING CARRIES A SUBSTANTIAL RISK OF LOSS, AND BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). THE FOREGOING LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless HFT EDGE and its affiliates, licensors, officers, employees, and agents from and against any claims, damages, losses, liabilities, judgments, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Site or Services; (b) your violation of these Terms or any applicable law or third-party right; (c) your trading activity, strategies, or configuration; or (d) any claim that content or materials you provide infringes a third party’s rights.

14. Termination & Suspension

We may suspend or terminate your access to the Site or Services at any time, with or without cause or notice, including if we believe you have violated these Terms or applicable law, or to protect the integrity or security of the Services.

You may stop using the Services at any time. If you wish to cancel a paid subscription, you must do so through the method provided before the next renewal date. Upon termination, all licenses and rights granted to you cease immediately, and you must stop using the Services and destroy any materials provided to you. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

15. Governing Law & Disputes

These Terms and any dispute arising out of or relating to the Site or Services are governed by the laws of Canada (and, where applicable, the province in which HFT EDGE is established), without regard to conflict-of-laws principles. You and HFT EDGE submit to the non-exclusive jurisdiction of the competent courts in that jurisdiction.

Before initiating formal proceedings, both parties agree to attempt in good faith to resolve any dispute through written notice and informal negotiation for at least thirty (30) days. Where permitted, disputes may be resolved through binding arbitration or in small-claims court. Any claim or cause of action must be commenced within one (1) year after it arose, or it is forever barred.

16. Changes to These Terms

We may revise these Terms from time to time. We will indicate the most recent version by updating the “Last updated” date above. We will notify you of material changes through the Site or by other reasonable means. Your continued access to or use of the Site or Services after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

17. General Provisions

  • Entire agreement. These Terms, together with the Privacy Policy and any order confirmation or separate agreement, constitute the entire agreement between you and HFT EDGE regarding the Services.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms or your rights under them without our consent; we may assign these Terms freely. Any attempted assignment in violation of this section is void.
  • Force majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including internet, infrastructure, market, or third-party outages.
  • Relationship. You and HFT EDGE are independent contractors; these Terms create no agency, partnership, or joint venture.
  • Electronic communication. You consent to receive communications from us electronically, which have the same legal effect as written notices.
